Terms of Service

These terms set out the rules for using Menufly, your rights and obligations as a user, and the basic rules regarding plans, billing, content, and liability.

1. What is Menufly

Menufly is a SaaS platform that lets restaurants, cafés, and bars create and share digital menus via QR codes. It includes features for managing menus, categories, dishes, prices, allergens, dish images, multi-language support, and anonymous visit analytics.

Menufly is designed for professional use by food-and-beverage businesses (B2B). The platform is not a reservation system, point-of-sale, or online ordering engine. You remain solely responsible for your menu accuracy, pricing, allergen declarations, legal compliance with local food-labelling law, and all business decisions made independently of the service.

2. Accepting these terms

By registering, accessing, or using Menufly, you confirm that you have read, understood, and agreed to these terms. If you do not agree, you must not use the service.

If you are registering on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

3. Account registration

  • You must be at least 18 years old and have legal capacity to enter into contracts.
  • You must provide accurate, complete, and current information during registration and keep it up to date.
  • You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.
  • If you suspect unauthorised access to your account, notify us immediately at klemen.hrastnik@gmail.com.
  • One account may serve multiple team members. You are responsible for ensuring all users on your account comply with these terms.

4. Plans, billing, and pricing changes

Menufly offers a permanent free plan and paid subscription plans with monthly or annual billing. Plan features, limits, and pricing are described on the pricing page.

  • Paid subscriptions are billed in advance at the start of each billing period via Stripe.
  • Prices are shown exclusive of VAT where applicable. VAT may be added based on your country of residence or business registration.
  • Upgrading a plan takes effect immediately; the first charge is prorated for the remaining period.
  • Downgrading or cancelling takes effect at the end of the current billing period — you retain full access until then.
  • No refunds are issued for unused portions of a paid period, except where required by applicable law.
  • We may change plan prices or features. For existing subscribers, price changes take effect at the next renewal after at least 30 days' notice by email.

5. Free plan

The free plan is available indefinitely with no charge. It includes a limited feature set as described on the pricing page. The free plan carries no service-level agreement (SLA) and no guaranteed uptime.

We reserve the right to modify free plan limits and features with reasonable notice. We will not retroactively charge for features previously available at no cost.

6. Acceptable use

You may use Menufly only for its intended purpose — managing digital menus for food-and-beverage establishments — and in compliance with all applicable laws.

You must not:

  • Publish illegal, misleading, offensive, or harmful content.
  • Infringe the intellectual property, privacy, or other rights of third parties.
  • Impersonate another restaurant, business, or person.
  • Attempt to gain unauthorised access to the service, other accounts, or related systems.
  • Scrape, reverse-engineer, or reproduce any part of the service without our written permission.
  • Use Menufly to send unsolicited messages or spam.
  • Resell, sublicense, or white-label access to the service without our express written consent.

We may suspend or terminate accounts that violate these rules without issuing a refund.

7. Your content

You retain full ownership of all content you upload to Menufly — menus, categories, dish names, descriptions, prices, allergen tags, and images. By uploading content, you grant Menufly a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display that content solely to operate the service for you and your restaurant guests.

You are solely responsible for:

  • The accuracy and legality of your menu content, including allergen information and pricing.
  • Ensuring you hold the rights to any images or text you upload.
  • Compliance with local food-labelling regulations (e.g. EU Regulation 1169/2011 on food information).

You can export or delete your content at any time from the dashboard. On account closure, your content is permanently deleted within 30 days (billing records are retained as required by law).

8. Data and privacy

By using Menufly, you agree to our Privacy Policy, which explains how we collect, use, and protect personal data. The Privacy Policy forms an integral part of these terms.

Where you process personal data of your restaurant guests through the service, you act as the data controller and Menufly acts as the data processor under GDPR Article 28. Our obligations as a processor are described in the Privacy Policy.

9. Our intellectual property

The Menufly software, platform, design, branding, trademarks, and all related technology are owned by Klemen Hrastnik s.p. or our licensors and are protected by applicable intellectual property law.

These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service as described. You do not acquire any ownership interest in the service or its underlying technology. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of Menufly.

10. Service availability

We aim for 99.5% monthly uptime on paid plans and will make reasonable efforts to maintain a reliable service. However, we do not guarantee uninterrupted, error-free, or perfectly secure access at all times. Scheduled maintenance, emergency patches, or circumstances beyond our control may cause temporary downtime.

The free plan carries no uptime guarantee or SLA. We are not liable for losses arising from service interruptions beyond what is required by applicable law.

11. Limitation of liability

To the maximum extent permitted by applicable law, Menufly's total liability to you for any claim related to the service is limited to the total fees you paid us in the 12 months preceding the event giving rise to the claim. For free-plan users, the limit is zero.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of business, or reputational damage, even if we were advised of the possibility of such damages.

Nothing in these terms excludes or limits liability that cannot be excluded under applicable law (such as liability for death, personal injury, or fraud caused by us).

12. Termination

By you: You may close your account at any time via Account settings. Paid access continues until the end of the current billing period. After closure, your data is deleted within 30 days (billing records are retained as required by law).

By us: We may suspend or terminate your account if you breach these terms, fail to pay outstanding amounts, or use the service in a way that poses a security or legal risk. We will give reasonable notice where possible, unless the breach is severe.

On termination for cause, no refund is issued for any remaining paid period.

13. Changes to these terms

We may update these terms from time to time to reflect changes in the service, applicable law, or our business. The updated version will be published on this page with a new "Last updated" date.

For material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised terms. If you disagree with a material change, you may close your account before it takes effect.

14. Governing law and disputes

These terms and any disputes arising from or related to the use of Menufly are governed by the laws of the Republic of Slovenia and, where applicable, European Union law.

We encourage you to contact us first at klemen.hrastnik@gmail.com to resolve any issue informally. If a formal resolution is required, disputes shall be referred to the competent courts in Slovenia.

EU residents may also access the European Commission's Online Dispute Resolution (ODR) platform for alternative dispute resolution.
